Siam Legal Corporate Services

Company Registration (Limited Company)

• Pre-incorporation and on-going consultations through engagement
• Draft By-Laws as required
• Produce two company stamps/corporate seal
• Obtain Company Registration Certificate and incorporation documents
• Translation from Thai to english, bundle of incorporation issued by the registrar
• Draft one Shareholder/Board Resolution for Opening Bank Account

BOI Application

• Provide Client with ongoing consultation
• Communicate with relevant Thai government departments to investigate and receive guidance on preparation of BOI Promotion application based on Client’s business objectives
• Prepare and submit BOI application and supporting documents
• Review Client’s project presentation with a BOI representative before appointment with BOI Committee
• Accompany Client to project presentation with BOI Committee
• Communicate with the BOI regarding status of application and update Client accordingly

Treaty of Amity

• Obtain U.S. Embassy certification of business
• Prepare and draft application for registration under the Thai Ministry of Commerce including a Power of Attorney
• Submit application on Client’s behalf to obtain Foreign Business Certificate from Ministry of Commerce.

Foreign Business License (FBL)

• Liaise with the Client to work towards submission of application and obtaining a verdict from the Department of Business Development (DBD).
• Compile and gather required documents for the application.
• Translation of information to be contained in the Thai application.
• Prepare and submit an application for Foreign Business License with supporting documents.
• Liaise with DBD regarding the status of application, prepare and supply additional or supplementary documents requested by DBD officers.

Representative Office

• Provide Client with ongoing consultation pertaining to the engagement.
• Prepare, gather or draft application and compile supporting documents to register foreign-registered entities with the Thai Foreign Business Department under the Ministry of Commerce.
• Submitting application under Power of Attorney and representing the client through the process of obtaining certification.
• Liaise the DBD regarding status of application and update Client accordingly
• Collection of issued certificate of Thai Corporate Identification Number on Client’s behalf.

Company Search

• Contact and liaise with the Registrar of Business.
• Apply to obtain all submitted documentation of the subject company up until the incorporation set.
• Apply to obtain financial documentation of the Company if required from the year of incorporation.

Amendment of Company Details - Change of Share Structure

• Draft a Share Transfer Agreement between transferring parties.
• Prepare Shareholder List and submit for registration on client’s behalf.
• Obtain updated set of Shareholder’s List

Amendment of Company Details - Removal and Adding of Director

• Draft an advertisement to call for a meeting for removal and adding a director
• Draft board resolution for removal and adding of a Director
• Arrange for an announcement in the newspaper to adhere to procedures.
• Prepare Director List and gather documents.
• Submit the application documents on client’s behalf.
• Obtain amended certification of documents.
